B2B Procurement Framework
These terms govern the use of MyProc360 for verified commercial procurement, RFQ postings, supplier quotations, and communication tools.
1. Acceptance of Terms
By registering, accessing, or using the MyProc360 procurement platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company, corporation, or partnership, you represent and warrant that you possess full legal authority to bind that entity.
2. Eligibility & Verification
• Commercial Use Only: MyProc360 is strictly a B2B network designed for corporate buyers and verified suppliers. Individual consumer retail purchases are not supported.
• Statutory Representation: All accounts must represent verifiable commercial entities. Users must provide accurate GST, PAN, and corporate contact information upon request.
• Verification Standards: MyProc360 reserves the right to suspend or restrict access to accounts that fail statutory verification, provide misleading capabilities, or engage in impersonation.
3. Requirement Postings & RFQ Guidelines
• Legitimate Intent: Buyers agree to post genuine procurement requirements with accurate technical specifications, target volumes, and delivery criteria.
• Accurate Quotations: Suppliers submitting proposals or quotes must accurately reflect manufacturing capability, pricing validity, lead times, and quality certifications.
• Prohibited Items: You may not post requirements for hazardous, illegal, unlicensed military, counterfeit, or prohibited materials under Indian or international trade laws.
4. Commercial Contracts & Transactions
• Direct Counterparty Engagement: MyProc360 facilitates verified matching, direct chat, and RFQ communications. Purchase Orders, formal commercial contracts, warranties, and delivery terms are executed directly between the buyer and supplier unless explicitly stated through an escrow or managed payment feature.
• Payment Obligations: Users are responsible for adhering to agreed milestone payments, invoices, and credit arrangements established in their independent commercial agreements.
5. Platform Code of Conduct
Users agree NOT to:
• Circumvent platform verification, tamper with other users' ratings, or publish false dispute claims.
• Scrape, automate, or bulk-harvest supplier databases or buyer requirement lists without prior authorization.
• Introduce viruses, malware, or destructive code into direct messaging channels or document upload pipelines.
• Engage in price-fixing, cartelization, or anti-competitive behavior in violation of competition laws.
6. Limitation of Liability
To the maximum extent permitted by law, MyProc360 and its officers, directors, and affiliates shall not be liable for indirect, incidental, punitive, or consequential damages resulting from quality disputes, manufacturing delays, or counterparty non-performance on independent purchase contracts.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
